Terms of Service

Effective date: 05 May 2026. These Terms of Service govern access to and use of WameUp services, including websites, web and mobile applications, SaaS products, CRM integrations, AI automation, chatbot development and WhatsApp Business API integration. These Terms are publicly available at https://wameup.com/terms/.
1. Service Provider
WameUp provides services from Almaty, Kazakhstan. Contact email: [email protected].
2. Acceptance of Terms
By requesting a proposal, approving a specification, paying an invoice, signing a contract, or using any deliverable provided by WameUp, the client accepts these Terms. If a separate written agreement is signed, that agreement prevails over these Terms where it expressly conflicts with them.
3. Services
WameUp provides custom development and automation services, including WhatsApp Business API integration, AI assistants, chatbots, CRM integrations, websites, applications, SaaS MVPs, analytics, message automation and technical support. The exact scope, deliverables, timeline, responsibilities and acceptance criteria are agreed individually by email, messenger, invoice, proposal, statement of work, technical specification or contract.
4. Client Responsibilities
- Provide accurate project requirements, access credentials, content, brand materials and approvals on time.
- Ensure that the client’s business, products, messages, customer databases and campaigns comply with applicable law and platform rules.
- Obtain and keep valid consent or another lawful basis for contacting end users, including via WhatsApp.
- Review deliverables, test integrations and report defects within the agreed acceptance period.
- Keep credentials, API keys and admin accounts secure and promptly notify WameUp about suspected unauthorized access.
5. WhatsApp, Meta and Messaging Compliance
Services involving WhatsApp Business API are subject to Meta, WhatsApp and business messaging policies. The client agrees that data may be processed and transferred to Meta Platforms Inc. and relevant WhatsApp Business API providers for operation of the service. The client is solely responsible for message content, opt-in collection, and compliance with WhatsApp Business Messaging Policy. WameUp does not control Meta account reviews, template approvals, quality ratings, messaging limits, restrictions, suspensions or policy enforcement decisions. Client acknowledges that Meta may block, restrict, or terminate WhatsApp access at any time. WameUp is not liable for any losses resulting from Meta's enforcement actions.
6. Broadcast Messaging and Outbound Campaigns
The Platform enables users to send outbound messages and broadcast campaigns to multiple recipients via WhatsApp, Telegram and other supported channels. The following terms apply to all such communications:
- User responsibility for content. You are solely and exclusively responsible for all content, materials, offers, claims and other information included in messages or broadcast campaigns sent through the Platform. WameUp does not review, approve, endorse or pre-screen the content of any outbound message or campaign before it is sent.
- Recipient consent. You represent and warrant that, prior to sending any campaign, you have obtained all consents, opt-ins and authorisations required by applicable law and by the policies of each channel used (including WhatsApp Business Messaging Policy). You must maintain records of such consents and provide them to WameUp upon request.
- Prohibited content. Broadcast messages must not contain spam or unsolicited commercial communications; false, misleading or deceptive claims; content that violates applicable law or the policies of Meta, WhatsApp or Telegram; or content that infringes third-party intellectual property or privacy rights.
- No pre-screening. WameUp provides the technical means to send messages but has no obligation to monitor or review the content of campaigns. WameUp's failure to detect or act on any violation does not constitute approval of that content.
- Indemnification. You agree to indemnify, defend and hold harmless WameUp and its officers, agents and contractors from and against any claims, damages, fines, penalties and expenses (including reasonable legal fees) arising from: (i) the content of messages or campaigns you send; (ii) your violation of anti-spam, data protection or consumer protection laws; (iii) your failure to obtain valid consent from recipients; or (iv) complaints or enforcement actions by recipients, regulators or channel providers resulting from your campaigns.
- Right to suspend. WameUp may immediately restrict or terminate your access to broadcast and outbound messaging features if WameUp reasonably determines that your campaigns violate these Terms, applicable law or channel policies, without liability to you.
7. AI Automation
AI features may generate inaccurate, incomplete or unexpected outputs. The client is responsible for reviewing AI-generated content, configuring escalation rules, maintaining accurate knowledge base materials and ensuring that automated responses are appropriate for their business, customers and legal obligations.
8. Prices, Payment and Taxes
Prices are determined individually and may depend on project scope, complexity, third-party services and support requirements. Unless otherwise agreed, invoices must be paid before work starts or before the next project milestone. The client is responsible for applicable taxes, bank fees, third-party platform fees, Meta/WhatsApp conversation charges, CRM fees, hosting and other external costs.
9. Changes and Delays
Changes outside the agreed scope may require a revised estimate, timeline and price. WameUp is not responsible for delays caused by late feedback, missing access, third-party platform issues, policy reviews, hosting incidents, payment delays or changes requested by the client.
10. Refunds
Refunds are available within 14 days only if services have not been provided and work on the agreed task has not started. Fees for completed work, approved milestones, third-party services, paid platform charges, domain names, hosting, licenses and non-refundable provider fees are not refundable unless required by law or agreed in writing. This refund policy complies with applicable consumer protection laws of the Republic of Kazakhstan.
11. Intellectual Property
Unless otherwise agreed, rights to custom deliverables created specifically for the client transfer to the client after full payment. WameUp retains rights to pre-existing code, internal tools, templates, know-how, reusable modules and general technical methods. Third-party platforms, APIs, libraries, software, fonts, images and templates remain subject to their own licenses and terms.
12. Acceptable Use
The client must not use WameUp services for spam, fraud, phishing, illegal content, unauthorized scraping, malware, deceptive campaigns, unlawful surveillance, or any activity that violates applicable law, Meta/WhatsApp policies, CRM provider terms or rights of third parties. WameUp may refuse or suspend work connected with prohibited or high-risk activity.
13. Third-Party Services
Projects may depend on third-party services such as Meta, WhatsApp, hosting providers, CRM systems, email providers, analytics tools, payment providers and AI model providers. WameUp is not responsible for their availability, pricing, policy changes, data processing, security incidents, restrictions or technical failures.
14. Confidentiality and Data Protection
Each party must keep confidential non-public business, technical and customer information received from the other party. Personal data is processed according to the WameUp Privacy Policy and any applicable data processing agreement or written instructions agreed with the client.
15. Data Deletion Requests
Clients and end users may request deletion of data by emailing [email protected]. We process such requests according to our Privacy Policy within 72 hours. We also comply with Meta's Data Deletion Callback requirements.
16. Warranties and Limitation of Liability
WameUp provides services with reasonable professional care. Except as expressly agreed, services and deliverables are provided without guarantees of uninterrupted operation, specific business results, sales growth, platform approval or compatibility with future third-party changes. To the maximum extent permitted by law, WameUp is not liable for indirect damages, lost profits, lost data, reputational harm or consequences caused by third-party platforms, client content, client data or unauthorized use of client accounts.
17. Termination
Either party may terminate cooperation according to the agreed contract, proposal or applicable law. Upon termination, the client must pay for completed work, approved milestones and non-refundable third-party costs. Access to systems may be limited if required for security, unpaid invoices or legal compliance.
18. Governing Law and Disputes
Unless otherwise agreed in writing, these Terms are governed by the laws of the Republic of Kazakhstan. The parties will first try to resolve disputes through good-faith negotiations by email. If no resolution is reached, disputes may be submitted to the competent court or authority under applicable law.
19. Changes to Terms
WameUp may update these Terms when services, providers, legal requirements or business processes change. If we make material changes to these Terms, we will notify clients by email at least 30 days before changes take effect. The current version is published at https://wameup.com/terms/.
